The solution
Cash-and-carry (atacarejo) was Brazil's ugly format: bulk packs, pallets, no service. Assaí — a 14-store wholesale chain GPA bought in 2007 — spent 2012 onward fixing exactly that, rebuilding stores with wider aisles, taller shelves and cleaner floors while keeping wholesale prices. Then the 2015-16 recession pushed households into the bulk queue: by September 2016 atacarejo was GPA's largest food channel at 34% of revenue, after 2015 sales of R$11.3 billion (+25%) Families made ~80% of transactions; restaurants and street vendors stayed the biggest buyers.
The winner then ate its sibling's corpse. Atacarejo's rise left GPA's Extra hypermarkets dying, and GPA's answer was to feed its own champion: from 2021-2022 the Extra sites began moving to Assaí, whose 66-hypermarket conversion program — 'the largest food-retail conversion project in the country', in CEO Belmiro Gomes' words — finished in December 2024 with the opening of Assaí's 300th store, pulling the chain's expansion forward by several years with sites that arrived fully built, located and parked.
The machine then started selling its own traffic. In 2025 Assaí booked revenue of R$84.7 billion (+5.2%) across 310-plus stores and ~90,000 employees; in 2026 it moved to monetize the 40 million monthly customers and ~20 million vehicles its lots already process — buying 18 fuel stations in São Paulo for up to R$80 million, launching Assaí Farma (25 pharmacies planned for H2 2026), and opening its storefront to the Mercado Livre marketplace. Sector-wide, atacarejo grew 11% in 2025 against 5% for traditional supermarkets.
What it achieved
Convert the stores of the format your format killed
Why it worked
The stores of a defeated format are distressed real estate: structure, parking and location transfer at a fraction of greenfield cost.
De-stigmatizing the format widened the customer base to families without giving up the wholesale price engine that suppliers fund.
Conversions compress time-to-market — 66 rebuilt sites landed Assaí on 300 stores years ahead of its organic schedule.
A food-retail footprint is traffic infrastructure: fuel, pharmacy and marketplace attachments monetize it at margins food lacks.
What can be applied
When your format wins, buy the loser's corpse. Distressed stores of a dying format are the cheapest expansion a growing rival will find, and converting beats building.
Aftermath
The fuel-station deal still needs antitrust (CADE) clearance, with Assaí taking over operations only from July 2027, and the pharmacy and marketplace pushes are pilots. The harder test is competitive: per an Itaú BBA report, Assaí and Atacadão have braked new openings to cut leverage while regional chains — Muffato, Mart Minas, Grupo Pereira — consolidate their home states. The conversion playbook, though, is finished and proven: Brazil's largest food-retail conversion project took a niche wholesaler to R$84.7 billion in sales.
